1. What is a “GDPR” Contract amendment ? Why are they important ?
You have entered into a subprocessing agreement, and a certain amount of personal data has been transferred from the client to the subcontractor for the purposes of the contract. The entry into force of the GDPR has substantially strengthened the obligations of each party when the contract involves the processing of personal data. If the contract has already been concluded, and it does not contain specific information on the protection of the transferred data, you are required to write an amendment to the contract to fully fulfill your new obligations.
The signing of these amendment clauses and their careful drafting are essential for your organisation in view of the heavy penalties incurred in case of violation of your obligations related to the GDPR and the protection of personal data. These penalties may in fact be up to €20 million or 4% of the company’s global annual turnover.
